Terms and Conditions in Relation to RiseUp’s Summer Campaign Competition

Interpretation

“you” means a participant in this Competition.

“participant” means either you or someone you have invited or referred to take part in this Competition.

“Terms and Conditions” means the terms referred to hereof (and any amendments from time to time) between us, RiseUp, and you, a participant in the Competition.

“winner” means the individual who has participated in this Competition and who has, as determined by RiseUp, won.

The Organiser

The organiser of this competition (the “Competition”) is RiseUp Moments UK Limited (“RiseUp”) a company registered in England and Wales with company registration number 14570315 and with its registered office at c/o Ch. Hausmann & Co. Suite 5 De Walden Court, 85 New Cavendish Street, London, W1W 6XD.
By participating/entering into this Competition, you agree to be bound by these Terms and Conditions.

The Competition

The Competition which is also known as the RiseUp Summer Campaign gives the opportunity for a participant to win a prize as set out in clause 6 below (the “Prize”).
In order to win the Prize, the participant must, during the Activity Period (defined below), invite as many friends and/or family as possible to start a conversation with RiseUp's summer bot on Instagram (the “Bot”). The participant who refers friends and/or family must ensure that they when writing to the Bot, write the username of the participant who has referred them.

How to enter

The Competition will run from 12:00 pm on August 24th (the "Opening Date") to 12:00pm September 2nd (the "Closing Date") inclusive (the “Activity Period”). All Competition entries must be received by RiseUp by no later than 12:00pm on the Closing Date. All Competition entries received after the Closing Date are automatically disqualified.
The winner of the Prize will be determined by the participant who refers the greatest number of participants who start a conversation with the Bot on Instagram. For the avoidance of doubt, for a successful referral, the participant inviting a friend to talk to the Bot will only be given to new participants/entrants whose details are not already on RiseUp’s system and who have not talked to the Bot before. The Competition is free and there is no charge for starting a conversation with the Bot or FOR referring friends and family to do so.
In order to be considered to win the Prize you must invite a minimum of 10 friends who start a conversation with the Bot and those participants must mention your name when talking to the Bot.
RiseUp will not accept: responsibility or liability for Competition entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or
proof of posting or transmission as proof of receipt of entry to the Competition.

The Competition entries will be judged by a panel of 2 judges. The decision of the panel of judges (acting reasonably) will be final.
RiseUp will send the full names of the judges to anyone who writes within [one] month after the Closing Date of the Competition requesting details of the judges and who encloses a self-addressed envelope to the address set out in RiseUp is: Ziv Tubin of RiseUp, ℅ WeWork, Aviation House 125 Kingsway London WC2B 6NH.

Eligibility

The Competition is only open to all residents in the United Kingdom aged 18 years or over, except:

(a) employees of RiseUp or its holding or subsidiary companies;

(b) employees of agents or suppliers of RiseUp or its holding or subsidiary companies, who are professionally connected with the Competition or its administration; or

(c) members of the immediate families or households of (a) and (b) above.

2. In entering the Competition, you confirm that you are eligible to do so and eligible to claim the Prize. RiseUp may require you to provide proof that you are eligible to enter the Competition.

RiseUp will not accept Competition entries that are:
automatically generated by computer or created by artificial intelligence (including but not limited to chatbots such as ChatGPT or similar software applications);
completed by third parties or in bulk;
illegible, have been altered, reconstructed, forged or tampered with;
photocopies and not originals; or
incomplete.
There is a limit of one entry to the Competition per household. Entries on behalf of another person will not be accepted and joint submissions are not allowed.
RiseUp, in its sole discretion, reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the Prize Competition or if you are in breach of these Terms and Conditions. Should RiseUp disqualify and prevent you from participating in the Competition for the reasons mentioned hereof you shall have no claim against RiseUp or anyone acting on its behalf in connection with termination.

Prize

The Prize is one holiday voucher for a holiday of choice worth £700.00.
The Prize is provided by buyagift.co.uk (the “Supplier”). RiseUp reserves the right to replace the Prize with an alternative prize if circumstances beyond RiseUp’s and/or the Supplier’s control make it necessary to do so. The Supplier is a separate company from RiseUp and therefore RiseUp bears no responsibility for any losses or damages suffered by you caused directly or indirectly by the Supplier. RiseUp is not responsible in any way for the quality and nature of the Prize.
The Prize does not include travel insurance, the cost of transfers to and from airports or stations, food and drink, spending money, tax or personal expenses. Any other costs incurred in addition to those set out above and that are incidental to the fulfilment of the Prize are the responsibility of you, the winner.
You will be responsible for ensuring that you and any person travelling with you are available and able to travel and hold valid passports, any necessary visas and travel documents for the holiday in question on the travel dates specified.
The Prize is subject to availability and therefore RiseUp reserves its right to delay or cancel the Prize at any time. There is no cash alternative for the Prize.
The Prize is not negotiable, replaceable or transferable. Therefore, you must ensure that the Prize is kept safe and is used within the timeframe specified by the Supplier and/or RiseUp.

In order to claim the Prize you must follow the steps set out in clauses 7 and 8 and the winning notification which will be sent to you.

Winner

The decision of RiseUp in relation to the winner is final and no correspondence or discussion will be entered into.
RiseUp will contact the winner personally as soon as is reasonably practicable after the Announcement Date (defined below), using the telephone number or email address you provided with the Competition entry. Please note that RiseUp will not amend any contact information you supply, therefore please ensure that it is correct. If RiseUp are unable to contact you using the contact details you provided, you will lose the right to win the Prize.
RiseUp will send the winning participant a message which you must reply to stating the details required in that message within 24 hours. The details include, but are not limited to, the following: full name, mobile phone number and e-mail address to which you would like the Prize to be sent. A participant who does not respond to the message within 24 hours of it being sent will lose his right to win the Prize
RiseUp must either publish or make available information that indicates that a valid award took place. To comply with this obligation RiseUp will publish the surname and county of the Prize winner and, if applicable, the winning entries in the RiseUp company website, and / or its Facebook and Instagram pages on Sept 4th (the “Announcement Date”).
The winner may be asked to take part in reasonable post event publicity and for their name and photographs to be used in such publicity. The winner will be given the chance to object to such publication or ask for less information to be published. If the winner wishes to withdraw their consent for use of their name and image for the purposes referred to hereof at any stage, they should contact RiseUp by using the details set out at clause 7.6 below. Should the winner later withdraw their consent after their details and / or image has been used by RiseUp, this will not affect the lawfulness of any processing carried out by RiseUp before the winner withdraws their consent.
If you object to any or all of your surname, county and winning entry being published or made available, please contact RiseUp - Tamara Harel-Cohen, tamara@riseup.co.il. In such circumstances, RiseUp must still provide the information and winning entry to the Advertising Standards Authority on request.

Claiming the Prize

Please allow 7 days for delivery of the Prize.
The Prize may not be claimed by a third party on your behalf.
RiseUp will make all reasonable efforts to contact the winner. If the winner cannot be contacted or is not available, or has not claimed the Prize within 14 days of the Announcement Date, RiseUp reserves the right to offer the Prize to the next eligible entrant selected from the correct entries that were received before the Closing Date.
RiseUp does not accept any responsibility if you are not able to take up the Prize.
Limitation of liability
Insofar as is permitted by law, RiseUp, its agents or distributors will not in any circumstances be responsible or liable to compensate participants or the winner or accept any liability for any loss, damage, personal injury or death occurring as a result of you taking up the Prize and / or participating in the Competition except where it is caused by the direct negligence of RiseUp, its agents or distributors or that of their employees. Your statutory rights are not affected.

Ownership of Competition entries and intellectual property rights

All Competition entries and any accompanying material submitted to RiseUp will become the property of RiseUp on receipt and will not be returned.
By submitting your Competition entry and any accompanying material, you agree to:
assign to RiseUp all your intellectual property rights with full title guarantee; and
waive all moral rights,
in and to your Competition entry and otherwise arising in connection with your entry to which you may now or at any time in the future be entitled under the Copyright, Designs and Patents Act 1988 as amended from time to time and under all similar legislation from time to time in force anywhere in the world.
You agree that RiseUp may, but is not required to, make your entry available on its website www.letsriseup.com and any other media, whether now known or invented in the future, and in connection with any publicity of the Competition. You agree to grant RiseUp a non-exclusive, worldwide, irrevocable licence, for the full period of any intellectual property rights in the Competition entry and any accompanying materials, to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence the Competition entry and any accompanying materials for such purposes.

Data protection and publicity

RiseUp will only process your personal information as set out in the www.letsriseup.com/privacy. See also clause 7.3 and 7.4, with regard to the announcement of winners.
General
RiseUp, in its sole and absolute discretion, reserves the right to determine the winner of the Prize, change the number of winners and / or the Prize and / or the Competition and / or the Activity Period and / or the provisions of these Terms and Conditions in any way for any reason and the participants will not have any claim against RiseUp for doing so. RiseUp also reserves its rights to cancel the Competition at any time at its absolute and sole discretion. Any change and / or cancellation of the Terms and Conditions will be announced in advance, and the participants will not have any claim regarding the termination of the Competition and / or change of the conditions of the Competition as stated in this section. The publication of the change of the Terms and Conditions or Competition will be on the RiseUp’s website.
If there is any reason to believe that there has been a breach of these Terms and Conditions, RiseUp may, at its sole discretion, reserve the right to exclude you from participating in the Competition.
RiseUp reserves the right to hold, void, suspend, cancel, or amend the Prize Competition where it becomes necessary to do so.
In the event that there is any inconsistency between these Terms and Conditions and any publication regarding the Competition, the terms of these Terms and Conditions shall prevail.
The headings of the sections contained in the Terms Conditions shall not affect the interpretation of the clauses in the Terms and Conditions.
If any provision or part-provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of these Terms and Conditions.
These Terms and Conditions shall be governed by English law and the courts of England shall have exclusive jurisdiction in respect of any dispute arising in relation to the Competition.
